Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On March 11, 2026, the Board of Directors (the “Board”) of HubSpot, Inc. (the “Company”) approved an amendment to the Company’s sixth amended and restated by-laws (the “By-law Amendment”), effective immediately, to designate the federal district courts of the United States as the exclusive forum for resolving any complaint asserting a cause of action arising under the Securities Act of 1933, as amended, the Securities Exchange Act of 1934, as amended, or the respective rules and regulations promulgated thereunder, unless the Company consents in writing to the selection of an alternative forum. The Board approved the By-law Amendment in response to recent amendments to the Generate Corporation Law of the State of Delaware regarding such forum selection provisions.
